Default Company startup...

I work for myself currently and am thinking of possibly doing my work thru a company which i'll set up for myself. I've got the standard forms to register a company but my question(s) for anybody who know's abotu this stuff is:

1. I want to register on the standard articles and memorandum of association btu might want to change these in the future. Can you just submit a new form/contract thing that changes the way the company is structured? subject to a fee

2. I want to register a name but might not def trade under it, i haven't decided yet. once i register i have to submit yearly accounts, is this easy and what about if i never trade under it, can i just say this.

In answer to item 1)

you can say that your purpose is "To carry on business as a general commercial company". It doesn't need to be restricted.

and item 2)

Your registered company name does NOT need to be your trading name. Trading and Registered names must be displayed at all places of business and on all correspondance, along with the company registration number.

You /can/ register a trading name too with the Patents Office.

P.S. get an adviser or do more research!
N.B. Since legislation a few years ago, if a contract was effectively carried out by you as a person, you will be taxed on the whole value of the contract, not just on the amount you pay yourself. This is a crap rule but....it only applies to single director businesses AFAIK, and you could probably get around it by making sure you can show that the contract was definitely awarded to, and carried out, by your company, not yourself.
