This is the error code
I tried it all and nothing works. Also, my icons look like they are 256 colours (really gritty and low quality) whilst everything else looks 32bit

PowerDVD does not support the current display mode. (DDraw Overlay mode is recommended)
Please lower the screen resolution and color depth, for example, 800x600 with 256 colors. Or you may adjust the refresh frequency, for example, to 75 Hz.

Not in this case
Something is wrong with my colour depth! I've tried reinstalling codecs, graphic drivers, direct x etc etc but it still displays icons in 256 colours as a opposed to 32bit Everything else i view is 32bit

silly question I know but you have checked the colour quality in display settings says "highest (32 bit)" ?
Try installing the latest directx codec as well:

Its ok, apparently it only happens under win 2k. When i ran DXDIAG it told me Netmeeting was on and sapping all the hardware acceleration from my dvd programes and they failed to force overlay.
So i chekc task manager for it, and processes and it was nowhere to be seen, so i opened netmeeting, then closed it, and now it all works again
